Conduct vendor (sell-side) due diligence

Review and classify seller documents, manage key risks and request reports and custom checklists.

1. Identify key risks

Sell-side advisers can review the seller’s documents before buyer access is granted and identify key risks such as expired contracts, missing contracts, or absent contracts that should exist.

Specialist advisers can be engaged to review assigned documents, classify them and complete document-specific checklists.

2. Assign documents for review

Click Assign beside a document or folder and select one or more specialist reviewers. They receive an email notification, and the assigned material appears in their review list.

Assignments clarify responsibility, appear in the exported document index and help track review status.

3. Classify documents

  1. Click Classify beside the document.
  2. Select the relevant document type.

Classification connects the document to a review checklist and supports a report for each reviewed document.

4. Review assigned documents

  1. Open Document Review to see the documents assigned to you.
  2. Open the first document to review.
  3. Answer the preset questions yourself or ask the AI assistant to help.

5. Manage suggested key risks

The system may suggest key issues based on checklist answers. Accept or reject each suggested risk. An accepted risk can be assigned to the seller for input; the seller sees it on their dashboard and can open it to comment.

6. Add a risk manually

  1. Open the project’s Risk Register.
  2. Click Add Risk.
  3. Complete the form with the risk details.
  4. Submit the form to add it to the register.

7. Reports and custom checklists
