Review documents for buyer due diligence
Prepare staged buyer access, configure permissions, download documents and manage buyer questions.
1. Review the Data Room
- Confirm every document is in the correct folder.
- Remove sensitive internal working documents, such as broker fee letters and internal valuations.
- Confirm uploaded documents are final, signed versions rather than drafts.
- Resolve outstanding RFIs or identify them as known gaps with an explanation for the buyer.
2. Invite buy-side users
Ask the buyer representative to complete the required information checklist. Then add each user to the organisation and project with suitable roles.
The source recommends Client as the Organisation Role and Client – Buy-side as the Project Role when access should remain restricted until explicitly granted.

3. Grant staged Data Room access
- Click Go to Data Room.
- Click Manage Access beside the folder or document to share.
- Click Add People and select one or more users.
- Repeat for each folder or individual document the buyer should access.
4. Customise buy-side access levels
Buy-side users have View access by default. To grant broader access, open More → Settings → Access Levels → Buy-side, choose View, Edit or Full Access for the relevant role, and save.
This changes the default level for every user in that role, so confirm the effect before saving.
5. Allow downloads
Buy-side users cannot download by default. To permit downloads, open More → Settings → Access Levels → Buy-side and upgrade the relevant Project Role to Edit or Full Access.
6. Manage buyer questions
- The buy-side manager opens the RFI area and clicks Create RFI.
- They select an optional category and sub-category, enter the question and link a related Data Room document.
- The Project Owner receives a notification and assigns the RFI to the responsible sell-side user.
- The sell-side user responds or reassigns it for specialist input.
- The broker reviews and approves the response before release to the buyer.
